1. Contract. This is an Agreement between the auto recycler named on the signature line of this Agreement ("You") and Used-Car-Parts.com, Inc., dba Car-Part.com ("Car-Part.com"). This is the complete agreement between the parties on this subject matter, and any different or additional terms and conditions you might add to this document or related documents are expressly objected to by Car-Part.com and not binding upon it. Car-Part.com reserves the right to accept or reject all Agreement forms received by it.

2. Brokerage Page Site. Car-Part.com will create a web site or web site page (the "Brokerage Page") with a parts search feature, on which your customers can search the parts inventories of other recyclers from your website and they appear to be your inventory. If those recyclers are members of Car-Part.com and if those other recyclers consent in writing (the other recyclers whose inventories you include are called your "Brokerage Partners"). The Brokerage Page is for use on your website .

3. Fees; Term. You agree to pay Car-Part.com the fee(s) specified below in this Agreement in exchange for Car-Part.com creating the Brokerage Page and permitting access to it. The fees will be payable quarterly in advance as billed by Car-Part.com, unless otherwise specified below. All fees are non-refundable. This Agreement shall remain in effect for a minimum term of 3 months, and thereafter until either party terminates it by giving the other party at least 30 days written notice of termination (or as otherwise permitted in this Agreement). In order to link to the Brokerage Page you must be a member of Car-Part.com with a valid agreement then in effect, including Terms and Conditions for Recycler Customers or comparable document. If for any reason you cease to be a member of Car-Part.com, this Agreement will automatically terminate without notice.

4. Software. All software that Car-Part.com provides You in connection with this Agreement or the Brokerage Page is licensed to You pursuant to a nonexclusive, nonassignable and revocable license, which automatically terminates when this Agreement terminates. You agree that You will use such software only for the purpose of a link from your website to the Brokerage Page.

5. Website User Agreement. The Car-Part.com User Agreement for Brokerage Page Site ("User Agreement"), as in effect from time to time, is incorporated into this Agreement and made a part hereof. The User Agreement is available on the Brokerage Page, and any changes made by Car-Part.com to the User Agreement shall automatically be effective when a revised User Agreement is posted on the Brokerage Page. (All terms and conditions of the "Terms and Conditions for Recycler Customers" also apply to all transsactions conducted with and/or on a Brokerage Page.) By executing this Agreement You agree to all of the terms of the User Agreement.

A faxed signature is considered an original signature on this Agreement.

FEE: $65 (US dollars) per month plus a one-time setup fee of $10 (US dollars) per yard included with a minimum set up fee of $100 (US dollars).
